Corporate reorganization - Telemedia Radio Inc. requests authority to effect a corporate reorganization affecting Okanagan Skeena Group Limited, which wholly owns Telemedia Radio (West) Inc., licensee of radio stations in Alberta and of radio and television stations in British Columbia

The Commission approves the above-noted application for authority to effect a corporate reorganization within Telemedia Radio Inc. (Telemedia), which will have the effect of transferring all of the issued and outstanding shares held by Telemedia in Okanagan Skeena Group Limited (Okanagan) to a new wholly-owned subsidiary of Telemedia, 3799883 Canada Inc. (3799883), in exchange for common shares of 3799883.

Okanagan owns 100% of Telemedia Radio (West) Inc. (TRW), which is the licensee of 15 radio programming undertakings in Alberta, of 21 radio programming undertakings in British Columbia as well as two (2) programming television undertakings in British Columbia (CJDC-TV Dawson Creek and CFTK-TV Terrace). As a result of the reorganization, 3799883 will own all of the issued and outstanding shares of TRW and the holding corporation, Okanagan, will be wound up and dissolved.

The Commission will modify its ownership records to reflect the authorized ownership of TRW as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. Reference to this letter will be made available at the Commission's web site at www.crtc.gc.ca in the official language in which the application was submitted. The Commission also requires you to append this letter to your licence.
