1. ACROSS CANADA

Application (200015497) by 1406236 ONTARIO INC., a wholly-owned subsidiary of BCE Inc. (BCE), on behalf of CTV Inc. (CTV), 115 Scarsdale Road, Toronto, Ontario, M3B 2R2, to effect a change in the effective control of the licensed broadcasting undertakings currently under CTV.
Background
On 25 February 2000 BCE, through a wholly owned subsidiary, 1406236 Ontario Inc., announced a cash bid for all of the outstanding common shares of CTV. Subsequent developments led BCE, on 13 March 2000, to announce: i) that it had increased its per-share offer; and, ii) that it had signed support agreements with both CTV and Electrohome Broadcasting Inc. (EBI), CTV's single largest shareholder, with 11.6% of CTV's voting shares.
The Commission approved, by Letter of Authority A00-024, dated 22 March 2000, the creation of a Voting Trust Agreement and the appointment of Mr. Brian Aune as trustee, to enable the continued operation of the broadcasting undertakings in question independently from BCE pending the Commission's consideration of the transaction.
BCE announced, on 5 April 2000, that it had taken up (subject to Commission approval) and paid for the EBI shares. On 6 April 2000, BCE announced that it had taken up (subject to Commission approval) and paid for 99% of the CTV shares outstanding on a fully diluted basis, exclusive of the 7 million common shares held by EBI. As a result of these two transactions, BCE acquired directly and indirectly through EBI, 99% of the issued and outstanding voting shares of CTV.
As per the Voting Trust Agreement, all of the CTV and EBI shares acquired under the BCE-CTV and BCE-EBI Offers have been transferred to the trustee pending Commission consideration of the application.
The proposed change in ownership of CTV, if approved, would result in a change of effective control of CTV's licensed broadcasting undertakings such as CTV Television Inc., Canada's only privately-owned national television network whose programming is available through numerous affiliated conventional television undertakings. The CTV holdings also include controlling and minority interests in a large number of other licensed undertakings, including pay and specialty television services.
BCE is a significant Canadian communications company with subsidiaries in broadcasting (i.e. Bell ExpressVu, primarily involved in satellite distribution with a national direct-to-home (DTH) pay-per-view service and a satellite relay distribution undertaking (SRDU)) and in telecommunications (Bell Canada).
CTV is a leading Canadian broadcasting company with conventional television operations across Canada and a significant presence in the pay and specialty television sector (i.e. The Sports Network Inc. (TSN); Le Réseau des sports inc. (RDS); Discovery Channel Canada; Outdoor Life Network; CTV Newsnet; The Comedy Network Inc.; Talk TV and other interests).
Considering the size and nature of the two companies, the Commission may discuss, with the applicant, the following:
a) Broadcasting and telecommunications activities under the same corporate umbrella.
The proposed transaction would result, if approved, in the consolidation of telecommunications and programming undertakings under one corporate umbrella, BCE. This represents a significant step that will affect Canadian consumers, broadcasters, creators and telecommunication companies alike. Accordingly, the Commission will wish to discuss the impact of such a transaction on the Canadian broadcasting system (for example, how will the platforms be used to advantage for Canadian stories and voices?; how will the combination of broadcasting and telecommunications under one corporate umbrella support and enhance Canadian broadcasting choices and voices?).
As indicated in the Convergence Report, telephone companies, through structurally separate affiliates, could increase diversity and the pool of funds available for programming through their ownership of programming undertakings. The Commission noted that applications for such acquisitions should be assessed on their own merits, subject to concerns about cross-ownership and concentration. The Commission may want to discuss such concerns with the parties, as well as the benefits that each sector, particularly the broadcasting sector, would gain from such convergence.
b) The level of cross-ownership that would result from the proposed transaction.
The Commission may wish to examine the potential market power that BCE could enjoy as well as the potential undue preference that could result from such a position. While in general terms, participation of distribution undertakings in the ownership of specialty services may raise concerns relating to vertical integration and concentration of ownership, the Commission has not precluded such ownership by non-dominant distributors. For example, the Commission has permitted BCE's 50.1% ownership interest in the French-language specialty television undertaking Canal Évasion. Notwithstanding the above, in an evolving environment, the Commission may wish to discuss whether BCE would have any undue advantage over other broadcasters, and what measures in this regard, if any, (including divestiture) may be required.

c) The future outlook of broadcasting and the potential role of new media in fostering the development of television and broadcasting in general.

With the emerging presence of new media services in today's environment, conventional television services are beginning to face new challenges. BCE has noted in its application that it already offers destinations and experiences to a growing customer base through Bell ExpressVu, and its Sympatico/Lycos portal, and that this will place CTV "in an ideal position to transform itself successfully". In this regard the Commission may wish to discuss the implications of bringing conventional television services into a digital and interactive world. For example, how will viewers benefit from this new environment?

d) The proposed benefits package.
The Commission may wish to discuss the proposed benefits package in terms of incrementality, acceptabililty, and proposals in respect of any benefits that may be found to be unacceptable. The Commission may also want to explore further whether the approach taken by BCE to its proposed benefits package is more beneficial to the broadcasting system than a proposal which would include significant investments in capital funds to provide ongoing funding to Canadian programming.

ROBTv is a Canadian specialty service who's programming focuses on business, financial and economic news. In addition to appealing to business professionals, ROBTv features programming of general interest such as investment management, personal finance and retirement planning.
The Commission notes that, following the Decision CRTC 2000-221, dated 6 July 2000, CW Shareholdings Inc. was given authority to acquire WIC Western International Communications Ltd.'s 26% partnership interest in ROBTv. Subsequently, the present transaction would result, if approved, in CW Shareholdings holding a 50% partnership interest in ROBTv while the other 50% will continue to be held by G and M Business News Limited.

Suite Systems Inc. is a wholly owned subsidiary of Boardwalk Equities Inc., owner of more than 150 properties, including residential units, high rise apartments, town homes and garden homes, in cities in Alberta, Saskatchewan and Ontario. The applicant proposes to offer broadcasting services using Internet Protocol digital technology.

The applicant, a wholly-owned subsidiary of Canwest Global Communication Corp. wishes to acquire the assets of the television programming undertaking CJNT-TV Montréal currently held by Raymond Chabot inc., trustee of the Estate of CTEQ Télévision inc., in bankruptcy, and for a broadcasting licence to continue the operation of this undertaking.
The applicant is also proposing to amend or delete the following conditions of licence:
- Conditions requiring 100% ethnic programming and no less than 80% Type A and B programming each month would be deleted. As an ethnic station, provisions of the Television Broadcasting Regulations, 1987 requiring at least 60% ethnic programming and 50% third-language programming monthly, would govern CJNT-TV.
- A condition prohibiting "films and/or feature length films which are not in a foreign language, except when French or English is indigenous to the country of origin" would also be eliminated.
- The following condition would be amended to refer to "CJNT-TV" instead of "CTEQ": "The licensee shall adhere to the CTEQ's ‘Code of Programming Standards and Practices', as filed with the approved application, and as amended from time to time and accepted by the Commission".
- Conditions requiring the broadcasting of ethnic programs directed toward not less than 25 distinct ethnic groups in not less than 25 different languages monthly would be amended to include 18 ethnic groups and 15 languages monthly.
- A condition requiring at least 50% Canadian programming annually between 7 a.m. and 1 a.m. would be replaced by one requiring a minimum of 50% annually between 6 a.m. and midnight.
- A condition requiring no less than 50% Canadian programs annually between 6 p.m. and midnight would be replaced by one requiring at least 40% Canadian programs during that time period.
Regarding the latter two conditions, the applicant is requesting an exemption to the Commission's Ethnic Broadcasting Policy (Public Notice CRTC 1999-117) by proposing Canadian content levels of 50% during the broadcast day, instead of the required 60%, and 40% during the evening broadcast period, instead of the required 50%.
The following conditions of licence would be added:
- It is a condition of licence that CJNT-TV broadcast ethnic programs directed toward not less than 25 distinct ethnic groups annually.
- It is a condition of licence that CJNT-TV broadcast ethnic programs in not less than 25 different languages annually.
- It is a condition of licence that CJNT-TV devote to the broadcasting of ethnic programs.
a) not less than 50% of the total number of hours broadcast monthly between 6:00 p.m. and midnight; and
b) not less than 75% of the total number of hours broadcast annually between 8:00 p.m. and 10:00 p.m.
- It is a condition of licence that CJNT-TV devote to the broadcasting of non-Canadian, non-ethnic programs
a) not more than 40% of the total number of hours broadcast annually between 6:00 a.m. and midnight; and
b) not more than 50% of the total number of hours broadcast annually between 6:00 p.m. and midnight.
- It is a condition of licence that no fewer than 15%, and no more than 25%, of the total number of hours broadcast between 6:00 a.m. and midnight be devoted to the French-language non-ethnic programs.
- It is a condition of licence that no fewer than 15%, and no more than 25%, of the total number of hours broadcast between 6:00 a.m. and midnight be devoted to English-language non-ethnic programs.
The applicant also requests that its programming service be distributed on a mandatory basis as part of a digital tier of all Class 1 and Class 2 broadcasting distribution undertakings as well as on DTH and MMDS distribution undertakings across the province of Quebec.
The Commission notes that on 20 April 2000, Raymond Chabot inc. acting as trustee of the Estate of C.T.E.Q. Television inc., in bankruptcy, was given temporary management authority of the television station CJNT-TV Montréal.
