Intracorporate reorganization

1.

The Commission approves the applications set out below, involving a number of steps that will result in an exchange of shares between Blackburn Group Incorporated (BGI), Blackburn Radio Inc. (BRI), and Sarnia Broadcasters (1993) Ltd. (Sarnia Ltd.).

2.

The reorganization involves the transfer of some radio assets, as well as some of the shares in BRI, Sarnia Ltd. and 1422865 Ontario Limited, a newly incorporated company, (Newco). The applicant stated that the reorganization would group radio properties along corporate lines.

3.

Applications:

 

i) 200018103: to move Sarnia Ltd., licensee of CHOK Sarnia, under BRI, through an exchange of shares;

 

ii) 200018095; 200018152: by Sarnia Ltd., to acquire the assets of CFGX-FM and CHKS-FM Sarnia from BRI;

 

iii) 200018087; by Newco, to acquire the assets of CHYR-FM Leamington from BRI.

4.

The Commission notes that the transactions herein approved represent an intra-corporate reorganization that does not alter the effective control of the licensees.

5.

Upon surrender of the current licences issued to BRI, the Commission will issue broadcasting licences to continue the operation of the affected undertakings, subject to the terms and conditions in effect under the current licences. The licences will also be subject to the conditions set out in Public Notice CRTC 1999-137
