Decision CRTC 99-551

Ottawa, 20 December 1999

NewCap Inc.
Corner Brook and Stephenville, Newfoundland – 199909884

16 November 1999 Public Hearing in Saskatoon

Acquisition of assets

1. The Commission approves the application for authority to acquire the assets of CKXX-FM Corner Brook and its transmitter CKXX-FM-1 Stephenville from Western Broadcasting Limited (Western), and for a broadcasting licence to continue the operation of this undertaking.

2. The Commission will issue a licence to NewCap Inc. (NewCap), expiring 31 August 2002, (the current expiry date), upon surrender of the current licence. The licence will be subject to the conditions specified in the licence to be issued.

3. NewCap and Western are wholly-owned subsidiaries of Newfoundland Capital Corporation Limited. This transaction is a result of an intra-corporate reorganization under which Western was wound-up into NewCap.

4. The Commission notes that this transaction occurred without its prior approval. Consequently, the Commission reminds Newcap that it must comply with section 11(4) of the Radio Regulations, 1986 at all times.

5. NewCap intends to maintain CKXX-FM's current programming. It has agreed to the condition of licence requiring it to contribute to Canadian talent development according to the Canadian Association of Broadcasters' guidelines, as set out in Public Notice CRTC 1995-196, as amended from time to time and approved by the Commission.

6. The Commission notes that this licensee is subject to the Employment Equity Act that came into effect on 24 October 1996 (1996 EEA), and therefore files reports concerning employment equity with Human Resources Development Canada. As a result of a consequential amendment to the Broadcasting Act, the Commission no longer has the authority to apply its employment equity policy to any undertaking that is subject to the 1996 EEA.
