Transfer of shares
1. The Commission announces that it has approved, by Letter of Authority A98-0128 dated 1 October 1998, the application for authority to transfer all of the shares of Télécâble Ste-Marie inc. held by 2966-5528 Québec inc. and Malouanges inc., to Câble-Axion Québec inc. (Axion Québec) These companies, 2966-5528 Québec inc. and Malouanges inc., are wholly-owned subsidiaries of Axion Québec. Following these changes, effective control of Télécâble Ste-Marie inc. will continue to be held by Axion Québec, a company ultimately controlled by Investissements Novacap inc.
2. The Commission notes that these changes were made without prior approval. Section 4 of the Broadcasting Distribution Regulations requires a licensee to obtain the prior approval of the Commission in respect of any measure that results in a change in the effective control of its undertaking. The Commission expects the licensee to comply henceforth with this requirement.
3. The Commission also notes that on 31 August 1998, Télécâble Ste-Marie inc. and Axion Québec amalgamated under the name of Axion Québec.
