Acquisition of assets
1. Following a Public Hearing in Toronto beginning 26 May 1997, the Commission approves the applications for authority to acquire the assets of the cable distribution undertakings serving the communities noted above from Regional Cable TV Inc., and for broadcasting licences to continue the operation of these undertakings.
2. The Commission will issue licences to AGI Cablevision Inc. (AGI), expiring 31 August 2002, the expiry date of the current licences, upon surrender of the current licences. The operation of these undertakings will be regulated pursuant to Parts I, III and IV of the Cable Television Regulations, 1986. The authority granted herein is subject to the same conditions as those in effect under the current licences, as well as to any other condition specified in the licences to be issued.
3. AGI is controlled by Amtelecom Group Inc., a small, local common carrier. Directly or indirectly, Mr. Douglas W. Millard holds approximately 33% voting interest in Amtelecom Group Inc. The remaining voting interest is widely held by shareholders. Each shareholder normally holds less than 10% of the voting interest.
4. The price of the transaction is $1.9 million. Based on the evidence filed with the applications, the Commission has no concerns with respect to the availability or the adequacy of the required financing and is satisfied with the benefits flowing from this transaction.
5. The Commission notes that as part of these applications, AGI has committed to maintaining a better signal quality, providing faster response to requests for service and lowering most of the basic rates.
6. In Public Notice CRTC 1992-59, the Commission announced implementation of its employment equity policy. It advised licensees that, at the time of licence renewal or upon considering applications for authority to transfer ownership or control, it would review with applicants their practices and plans to ensure equitable employment. In keeping with the Commission's policy, it encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
