Transfer of shares
Following a Public Hearing in Montréal beginning on 24 February 1997, the Commission approves the applications by Radiocorp Inc., licensee of radio programming undertakings CKOC and CKLH-FM Hamilton, CJBK and CJBX-FM London, on behalf of its holding company Radiocorp Management Inc. (RMI) for authority to transfer effective control of RMI and Radiocorp Inc. from Mr. Jack Schoone to RMI's shareholders by virtue of their ability to elect the Board of Directors.
The Commission notes that the transfer of control is to be completed through an RMI share capital reorganization resulting in Mr. Schoone's voting interest in RMI being reduced to 33% from his current 51% controlling interest in RMI.
In Decision CRTC 97-146 released today, the Commission approved the applications by London Communications Ltd. to acquire the assets of CJBK and CJBX-FM London.
This authority will only be effective at such time as the applicant has executed and filed with the Commission a unanimous shareholder's agreement that is acceptable to the Commission.
This decision is to be appended to each licence.
