Acquisition of assets
Following a Public Hearing held in the National Capital Region beginning on 18 September 1995, the Commission approves the applications for authority to acquire the assets of the radio programming undertakings CIBQ Brooks, CKDQ Drumheller and CKSQ Stettler from CHUM Limited, and for broadcasting licences to continue the operation of these undertakings.
The Commission will issue licences to Nor-Net Communications Ltd., expiring 31 August 2002, upon surrender of the current licences. The licences will be subject to the same conditions as those in effect under the current licences, as well as to any other condition specified in this decision and in the licences to be issued.
The price of the transaction is $1,850,000. Based on the evidence filed with the applications, the Commission has no concerns with respect to the availability or the adequacy of the required financing.
The Commission notes that these stations, on a combined basis, have been unprofitable over the three years preceding the filing of these applications. Accordingly, the Commission is satisfied that the applications meet the criteria set out in Public Notice CRTC 1993-68 entitled "Application of the Benefits Test at the Time of Transfers of Ownership or Control of Broadcasting Undertakings". The Commission notes the important benefit associated with this transaction, that being the maintenance of CIBQ, CKDQ and CKSQ as viable, local radio services to the above-mentioned localities. Accordingly, the Commission is of the view that approval of these applications is in the public interest.
It is a condition of each licence that the applicant adhere to the guidelines on gender portrayal set out in the Canadian Association of Broadcasters' (CAB) "Sex-Role Portrayal Code for Television and Radio Programming", as amended from time to time and approved by the Commission.
It is also a condition of each licence that the applicant adhere to the provisions of the CAB's "Broadcast Code for Advertising to Children", as amended from time to time and approved by the Commission.
In Public Notice CRTC 1992-59 the Commission announced implementation of its employment equity policy. It advised licensees that, at the time of licence renewal or upon considering applications for authority to transfer ownership or control, it would review with applicants their practices and plans to ensure equitable employment. In this respect, the Commission notes that the applicant indicated that it will be sensitive to the Government's employment equity policy in all of its future hirings and that it intends to implement an internal employment equity plan over the next few years.
